General Description of Role:

Reporting directly to the Company’s General Counsel, the Legal Counsel, India will focus primarily on commercial agreements supporting the Asia Pacific sales team, Made in India and other regulatory initiatives in India, corporate compliance and human resources, and will have a broad range of responsibilities as part of a small but fast‐growing Legal team. The successful candidate will be a seasoned attorney who can draft, negotiate and manage a wide variety of inbound and outbound commercial agreements in an extremely fast‐ paced environment, including distribution and reseller agreements, end user agreements, license agreements and various procurement agreements. You will also be responsible for corporate compliance and corporate governance matters in the India offices, working closely with the India finance manager, human resources matters working with the India human resources team, as well as managing other regulatory matters in India and the rest of the Asia region. Participation in other initiatives, such as intellectual property matters or other corporate matters, may be added depending on experience. You should be a “business‐friendly,” highly collaborative person who is able to provide proactive and creative solutions and strategies that are responsive to our internal clients’ needs, and you need to be able to thrive in an entrepreneurial, high‐growth environment while providing prompt, clear counsel to senior management, and diligently work to appropriately limit risk for the company.

Primary Responsibilities:

· Customer Sales and Support. Incumbent shall partner with Cambium’s Sales team in APAC to review, negotiate and draft distribution and reseller agreements, end user agreements, associated professional services agreements, as well as NDAs, and other miscellaneous agreements.

· Counsel the Sales team about Cambium policies and processes, and regarding various issues and risks relating to customer deals and participate in internal training efforts.

· Provide counsel regarding various regulatory as well as customs requirements for sale of products.

· Procurement and General Office Support. The incumbent shall Partner with Cambium’s internal supply and procurement teams and with the head of the India office to review, negotiate and draft a wide variety of procurement agreements (e.g., real estate agreement, professional services, license agreements, office supply, marketing, hardware and event contracts), as well as related NDAs.

· HR support. The incumbent shall counsel on compliance with India employment laws as may be applicable to Cambium or in connection with Cambium’s operations in India.

· Entity management. The incumbent shall work with other legal members to ensure entity corporate governance in APAC (including India) and if required, other regions.

· Intellectual Property, Open-source compliance, Privacy and AI Laws. Incumbent shall drive Cambium’s patent program, interact with Inventors, drive patent review meetings, patent payment program. Support Cambium’s Trademark protection initiatives. Provide counsel on Open source compliance matters, Support global privacy and AI initiatives while leading India implementations.

· Product release support. The incumbent shall work with the Cambium program management team to ensure legal clearance prior to Product release.

· Contentious matters. The incumbent shall represent Cambium’s interest in research and representation through external counsel for contentious matters.

· Supervision for team member(s). The incumbent would be expected to guide one or more junior lawyers, providing guidance and setting them up for successfully supporting Cambium businesses.

· External Counsel management; Biling support. The incumbent shall be responsible for managing external counsel relationships in APAC region. Prior experience in working with billing tools would be an added advantage.

 

Requirements:

· Education and Experience

· Legal degree from a top law school with exceptional academic credentials and a minimum of 10 years PQE of relevant experience, preferably leading Global Capability Center of a Technology company.

· Experience in corporate commercial matters as well as partnering with and providing support to Sales and/or Procurement teams.

· Experience with India privacy laws.

· Experience with India telecommunications regulations.

· Has excellent academic credentials and exceptional communication and negotiation skills.
