The Role
A legal manager at Nanonets plays a crucial role in navigating the complex legal landscape to ensure the company adheres to relevant laws and regulations. This position involves drafting and reviewing contracts, managing intellectual property, handling data privacy issues, and advising on corporate governance.
Some key responsibilities of the role -
- Draft, review, analyse, and negotiate commercial contracts, including agreements relating to technology licensing (on-premise software and SaaS / cloud based services), professional services, MSAs, BAAs, as well as other commercial agreements including non-disclosure / confidentiality agreements, and requests for proposal and solicitations.
- Work closely with worldwide sales and revenue teams to negotiate customer contracts and related agreements including data processing addenda.
- Create and implement policies and procedures for training teams on best practices for contract management and administration
- Develop and maintain expertise in the areas of data privacy and security and serve as in-house resource to collaborate on white papers, case studies, and other informational materials
- Support other general corporate legal matters as needed and Provide legal advice and counsel to the SaaS businesses.
- Provide legal support and advice on international growth, compliance, regulatory, commercial, consumer, contentious, and competition law issues, SaaS specific privacy and data security laws and regulations, advertising regulations, mergers & acquisitions, strategic collaboration, and investments in India, North America and Europe.
- Lead contract negotiations while ensuring compliance with Nanonets policies, applicable law and industry standards
- Develop and implement compliance programs to ensure adherence to all legal and regulatory requirements.
- Maintain compliance trackers and conduct periodic audits to assess compliance levels and address any identified issues promptly.
Some key requirements of the role -
- 5-8 years of experience, including substantial experience negotiating enterprise software and SaaS agreements, software licensing, strategic partnerships and alliances, managing complex contract negotiation and drafting and other related commercial agreements.
- Demonstrated knowledge of data privacy regulations including GDPR, CCPA, HIPAA, and emerging privacy laws in other jurisdictions
- Ability to provide practical, decisive guidance to Nanonets that balances business goals and legal risk
- Corporate generalist experience across other key functional areas including commercial contracts, IP protection and enforcement, dispute resolution, licensing, and general corporate governance matters
- Ability to distil complex legal issues to easily understandable business terms to facilitate problem solving in customer negotiations
- Strong desire to collaborate cross-functionally and be recognized as a valued member of the broader business team
- Willingness to work across time zones in an environment where flexibility and resourcefulness are valued and rewarded
