Responsibilities •
- Provide legal advice and support in the areas of private equity, mergers and acquisitions, and structuring.
- Drafting and negotiating documents relating issuance of debt instruments
- Advise on legal and regulatory aspects related to the structuring of entities and assist in structuring and negotiating complex transactions, ensuring compliance with regulatory requirements and best practices.
- Conduct legal due diligence, draft and review transactional documents for potential mergers, acquisitions, investment opportunities and fundraising.
- Provide legal advisory on corporate governance and compliance with applicable laws.
- Provide advisory on various aspects of law relating to the day to day affairs of the company, liaise with internal stakeholders, including senior management and other departments, to provide legal guidance on business decisions and strategic initiatives.
- Stay updated on relevant legal developments, new regulations, and case law affecting private equity, mergers and acquisitions, and regulatory aspects.
- Manage and coordinate with external legal counsel, as required, for complex legal matters.
- Conduct thorough legal research, analyse complex legal issues, and provide strategic recommendations to internal stakeholders, enabling informed decision-making and risk management.
- Represent the company in negotiations, meetings, and discussions with external parties, including clients, regulatory authorities, and other legal professionals.
EXPERTISE AND QUALIFICATIONS
- Bachelor's degree in Law (LLB) from a recognized Indian university.
- Previous experience with a reputable law firm is mandatory.
- 4-8 years pre-qualification experience as a core transactional & corporate lawyer, with a strong focus on private equity, mergers and acquisitions, and corporate advisory.
- Strong knowledge of Indian corporate laws, regulations, and guidelines, particularly in the areas of private equity, mergers and acquisitions, and regulatory.
- Proven experience in advising from a corporate and regulatory standpoint. Proven ability to navigate complex legal and regulatory landscapes, providing practical and commercially sound advice to clients.
- Excellent drafting, negotiation, and communication skills.
- Ability to provide clear and practical legal advice to internal stakeholders.
- Strong analytical and problem-solving skills with a meticulous attention to detail
