  • Advise business and credit teams throughout the transaction lifecycle, from origination and structuring to closing and portfolio management
  • Draft, review and negotiate credit agreements, commitment letters, term sheets, security documents, intercreditor agreements, participation and syndication arrangements, confidentiality agreements and other transaction documents
  • Advise on transaction structuring, risk allocation and lender protections
  • Support syndicated financings and transactions involving multiple lenders, government agencies, export credit agencies and other financing participants
  • Manage legal due diligence and identify legal risks associated with complex transactions
  • Retain, instruct and supervise external legal counsel in Canada and other jurisdictions, as required
  • Develop legal precedents, processes, templates and guidance materials to support scalable and efficient delivery of legal services
  • Provide training and practical legal guidance to business partners on project finance and related legal matters
  • Collaborate with senior leaders across FCC to identify opportunities, solve problems and support strategic initiatives
