Role Overview:
The Senior Manager, Contracts – Digital Technology and Non-Product provides contracts support for all aspects of digital technology acquisition, licensing, maintenance and support, and non-product sourcing and maintenance, on behalf of Pratt & Whitney.
Reporting to the Senior Director and Associate General Counsel, Global Supply Chain Contracts, in Pratt & Whitney’s legal organization, this position will be focused on the digital technologies and non-product commodities and will be responsible for: (i) reviewing and negotiating potential digital technology acquisition, license, maintenance and support contracts, (ii) reviewing and negotiating potential non-product sourcing and maintenance contracts, (iii) coordinating and synthesizing inputs from various internal stakeholders in connection with digital technology and non-product contracts, (iv) developing, maturing and continuously improving internal procurement policies, processes and practices, (v) ensuring compliance with all applicable Pratt & Whitney and RTX policies and procedures, (vi) ensuring compliance with all applicable US and foreign laws and regulations, and (v) coordinating work with another in-country peer.
What You Will Do:
- Primary contracts support for digital technologies procurement at P&W.
- Review, draft and negotiate digital technologies contracts, including for IT services, term and perpetual software licenses, and software as a service, with a particular focus on artificial intelligence applications relative to applicable laws, regulations, and company policies and procedures.
- Review, draft and negotiate contracts related to services and goods that are not incorporated into products Pratt & Whitney delivers to customers (non-product), including capital equipment, consumable products, consulting services, and other outsource work.
- Work closely with Legal, Digital Technologies, Cyber, Strategic Sourcing, Corporate, G and other subject matter experts in all stages of transaction activity.
- Mature, continuously improve, and document processes related to the review, negotiation, escalation, execution and management of digital technology and non-product contracts.
- Support internal customer and legal meetings related to digital technology and non-product contracts.
- Report performance against key performance indicators on a monthly basis, and undertake corrective actions where key objectives have not been met.
- Coordinate work with other in-country peer(s) to ensure all business objectives are met.
- Work hours are to be determined, but some overlap with east coast United States hours will be required.
Qualifications You Must Have:
- Bachelor of Laws/ Advanced Degree with 15-20 years of legal and contracts experience in Digital Technology and Non-Product.
- Substantial experience reviewing, drafting and negotiating software license, maintenance and agreements.
- Substantial experience reviewing, drafting and negotiating contracts for the purchase or sale of goods and services.
- Ability to understand Pratt & Whitney’s requirements and risk tolerance and independently identify the legal, IP and business risk of a proposed transaction and obtain appropriate terms and approvals.
- Ability to think and work proactively and strategically in resolving legal issues, with escalation to leadership as appropriate.
- Sound business judgment and high attention to details.
- Ability to interact effectively with multiples levels of the organization and maintain strong relationship with peers, internal clients, and external customers.
- Superior communication skills, both oral and written.
- Team player who can effectively engage with other members of the contracts team, legal department and other functional groups.
Hybrid: Employees who are working in Hybrid roles will work regularly both onsite and offsite. Ratio of time working onsite will be determined in partnership with your leader.
